About the Job

We’re seeking a detail-oriented and commercially aware Contract Paralegal to support contract lifecycle management, with a strong focus on reviewing, vetting, and managing agreements such as NDAs, vendor contracts, and BAAs. The role requires a blend of legal acumen, operational efficiency, and familiarity with contract management systems.


Location/Hours

Location: Work from Office (Bhayandar)
Shift: Between 8:00 AM to 7:00 PM EST


Job Responsibilities / Expectations

Contract Review & Vetting

  • Review, analyze, and redline agreements including Non-Disclosure Agreements (NDAs), Business Associate Agreements (BAAs), vendor/supplier contracts, and Master Service Agreements (MSAs)
  • Identify legal and commercial risks and suggest mitigation strategies
  • Ensure contracts comply with applicable laws, internal policies, and client requirements


Contract Drafting & Negotiation Support

  • Draft standard agreements and templates based on business needs
  • Support negotiation cycles by incorporating feedback from stakeholders
  • Coordinate with internal teams (legal, compliance, procurement) and external clients


Contract Lifecycle Management (CLM)

  • Manage end-to-end contract lifecycle from initiation to execution and renewal
  • Maintain and update contract repositories and databases
  • Track key obligations, milestones, and renewal deadlines
  • Ensure timely completion of contract workflows and approvals


Contract Management Systems

  • Work on CLM tools such as DocuSign CLM
  • Ensure accurate data entry, tagging, and reporting within systems
  • Generate reports and dashboards for contract performance and risk tracking
  • Optimize use of technology to enhance contract management efficiency


Compliance & Risk Management

  • Ensure adherence to regulatory requirements (e.g., data privacy, HIPAA where applicable)
  • Flag non-standard clauses and escalate risks appropriately
  • Support audits and compliance reviews
  • Maintain documentation for legal and regulatory purposes


Stakeholder Management

  • Act as a liaison between legal, business, and external stakeholders
  • Provide clear, concise summaries of contract terms to non-legal teams
  • Drive turnaround time and efficiency in contract processing
  • Respond to contract-related queries and provide guidance to internal teams


Minimum Qualifications

  • Bachelor’s degree in law (LLB) or relevant legal qualification
  • Strong understanding of contract law and commercial agreements
  • Hands-on experience in NDA, BAA, and vendor contract review
  • Familiarity with CLM tools and document management systems
  • Excellent drafting, analytical, and communication skills
  • High attention to detail and ability to manage multiple contracts simultaneously
  • Proficiency in MS Office (Word, Excel, PowerPoint)
  • Strong organizational and time management skills
  • Ability to work independently and prioritize tasks effectively
  • Professional demeanor and ability to handle confidential information


Desired Qualifications

  • Exposure to US contracts and legal frameworks (highly preferred given client base)
  • Experience in legal process outsourcing (LPO) or corporate legal departments
  • Knowledge of data privacy laws (HIPAA, GDPR)
  • Experience with DocuSign CLM or similar contract management platforms
  • Understanding of BPO/BPM industry contracts and service agreements
  • Familiarity with dispute resolution and contract enforcement principles
  • Experience supporting complex, multi-party negotiations
  • Paralegal certification or specialized training in contract management
  • 3-5 years of relevant paralegal or contract management experience
